Advisory Board Meeting of April 22, 2024

Executive Session Minutes

Present: Ed Burman/Ashland, Vice Chair; Kevin McCabe/Dover; Michael Tusino/Framingham;   Ryan Egan/Marlboro; Michael Walsh/Milford; Debra Galloway/Sudbury, Clerk; Joseph Nolan/Wayland, Chair; Colette Aufranc/Wellesley; and Jean MacQuiddy/Weston.

Also present: Patrick Moynihan, Legal Counsel to the MWRTA Advisory Board.

Executive Session under M.G.L c. 30A §21A, exemption #2: to conduct strategy sessions in preparation for negotiations with non-union personnel (Administrator James Nee)

Chair Nolan called the executive session to order at 10:55 AM and informed the Board that Mr. Moynihan had been invited to participate.

Mr. Moynihan provided the Board with a brief re-cap of his memorandum dated April 19, 2024 relative to the subcommittee’s recommendations for a new contract with the Administrator. Mr. Moynihan stated that all revisions to the contract recommended by the subcommittee and reported to the Advisory Board in his memorandum were agreed to by Mr. Nee, with two exceptions.  The Administrator requested that the Board consider increasing his annual compensation by 5% as opposed to the 4% recommended by the subcommittee, and that the Board increase his annual auto allowance from the $7,000.00 recommendation to $7,500.00.

A brief discussion ensued in which several Board members expressed their satisfaction with the Mr. Nee’s performance since becoming Administrator in July, 2022, and that the requested adjustments to the subcommittee’s recommendations were warranted. With no opposition expressed to this sentiment, Mr. Nolan stated that the Board would reconvene in open session and take a vote on the subcommittee’s recommendations, as revised.

Upon a motion by Mr. Burman and seconded by Ms. Aufranc, the Advisory Board was polled and voted unanimously to exit Executive Session and return to open session.

The Chair adjourned the Executive Session at 11:07 AM.
